This Service Level Agreement and Terms of Use (“Agreement”) sets out the service commitments, permitted use, responsibilities, restrictions and limitations applicable to the use of EdcoreTMS by the subscribing training provider or organisation (“Client”).
EdcoreTMS is owned and operated by AtomaXR Pte Ltd (“AtomaXR”). Access to EdcoreTMS constitutes a limited right to use the platform and does not transfer any ownership or intellectual property rights to the Client.
EdcoreTMS is a cloud-based Training Management System providing functions which may include course run management, learner registration, attendance, trainer management, assessment administration, invoicing, reporting, regulatory workflows, integrations and other training administration functions.
Features and functionality may vary according to the Client's subscription, configuration, regulatory requirements and services purchased.
AtomaXR will use reasonable commercial efforts to maintain the availability and operation of EdcoreTMS. Planned maintenance, emergency maintenance, security actions, internet disruptions, third-party service failures, government platform outages, hosting failures and circumstances beyond AtomaXR's reasonable control are excluded from availability commitments.
Accounts with no new learner enrolments for 30 consecutive days may be classified as inactive and temporarily disabled as part of our security and access-control protocols.
Test, dummy, duplicate, fabricated or otherwise non-operational enrolments will not be regarded as evidence of active operational use. An inactive account may be reactivated upon request and verification by EdcoreTMS Support.
AtomaXR reserves the right to temporarily restrict or suspend access where reasonably necessary to protect the security, integrity, confidentiality, intellectual property or proper operation of EdcoreTMS.

Response targets refer to the commencement of investigation or response and do not constitute guaranteed resolution times.
Access to EdcoreTMS is granted solely to authorised users of the Client for the Client's legitimate internal training administration and related operational activities.
User accounts and credentials must not be shared, transferred, resold, sublicensed or made available to unauthorised persons.
The Client shall not provide access to competitors, software vendors, developers, consultants or other third parties for the purpose of examining, evaluating, documenting, reproducing or developing functionality based upon EdcoreTMS without prior written approval from AtomaXR.
AtomaXR may monitor and log access to the platform for security, troubleshooting, audit, compliance, licensing and misuse-prevention purposes, subject to applicable law.
EdcoreTMS and all intellectual property associated with the platform remain the exclusive property of AtomaXR Pte Ltd and/or its applicable licensors.
This includes, without limitation, the software, source code, object code, database structures, schemas, data models, system architecture, workflows, business logic, algorithms, processes, automation rules, interfaces, dashboards, reports, templates, forms, layouts, documentation, APIs, integration methods, configuration methods and proprietary know-how embodied in or used by EdcoreTMS.
No provision of this Agreement grants the Client ownership of EdcoreTMS or any right to obtain its source code, database structure, internal documentation or other proprietary materials.
Except where expressly permitted by applicable law and where such permission cannot lawfully be excluded, the Client shall not directly or indirectly:
AtomaXR reserves the right to investigate suspected misuse and, where reasonably necessary to protect the platform, its users or its intellectual property, temporarily restrict or suspend affected access while such investigation is conducted.
Each party shall take reasonable measures to protect confidential information received from the other party.
Non-public information concerning EdcoreTMS architecture, workflows, configuration, database structures, integration methods, security controls, documentation, business logic, technical processes and proprietary operating methods shall be treated as confidential information of AtomaXR where its confidential nature is apparent or has been identified as such.
The Client shall not disclose such information except to personnel who legitimately require it for authorised use of EdcoreTMS and who are subject to appropriate confidentiality obligations.
As between AtomaXR and the Client, information relating to the Client's learners, customers and operational records entered into EdcoreTMS remains Client Data, subject to applicable contractual and legal requirements.
Client Data does not include EdcoreTMS software, database schemas, system metadata, proprietary configurations, algorithms, workflow definitions, templates, internal identifiers, system architecture, derived platform structures or other intellectual property belonging to AtomaXR.
EdcoreTMS may assist in recording, preparing, tracking or transmitting grant-related and regulatory information. EdcoreTMS does not guarantee approval, reimbursement, eligibility, payment or disbursement by SkillsFuture Singapore (“SSG”) or any government authority.
Responsibility for verifying, pursuing, following up, rectifying, appealing and monitoring grants and funding claims remains with the respective Registered Training Provider (“RTP”) or Client.
To the fullest extent permitted by law, AtomaXR shall not be responsible for rejected claims, delayed payments, reduced funding, audit clawbacks, penalties, trainee or employer ineligibility, submission errors, regulatory changes or non-disbursement of grants or subsidies where such matters are not caused by a breach of AtomaXR's obligations under the applicable agreement.
EdcoreTMS may interface with third-party systems including government platforms, payment gateways, SMS services, email providers, accounting platforms, identity services and other APIs.
AtomaXR does not control such third-party services and shall not be responsible for their availability, processing delays, changes in specifications, authentication failures, data mismatches, policy changes or service outages, except to the extent otherwise expressly agreed in writing.
The Client remains responsible for reviewing and verifying operational, financial, attendance, enrolment, assessment and regulatory information before relying upon or officially submitting such information.
The Client shall not attempt to gain unauthorised access to any account, module, database, server, API, file, directory or other component of EdcoreTMS.
Activities reasonably indicating credential abuse, automated extraction, unauthorised access, security testing, systematic system mapping, attempted circumvention or other misuse may result in temporary restriction or suspension of access pending investigation.
Security testing, penetration testing, vulnerability scanning or similar activities may only be conducted with prior written authorisation from AtomaXR.
AtomaXR may perform maintenance, upgrades, security patches, infrastructure changes, regulatory updates and reasonable modifications to platform functionality where necessary for security, reliability, compliance, compatibility or continued development of EdcoreTMS.
To the fullest extent permitted by applicable law, AtomaXR shall not be liable for indirect, incidental, special or consequential losses, loss of profits, loss of business opportunity, reputational loss or similar losses arising from the use of or inability to use EdcoreTMS.
Subject to applicable law and any separate written agreement, AtomaXR's aggregate liability arising from the affected service shall not exceed the subscription fees paid by the Client for the affected service period.
Nothing in this Agreement excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.
Services may be terminated in accordance with the applicable quotation, subscription agreement, master service agreement or other written commercial arrangement between the parties.
Upon termination or expiry, the Client's right to access and use EdcoreTMS ceases in accordance with the applicable agreement. Access to the live system should not be relied upon as a mechanism for retaining historical records following termination.
Where a post-termination data export service is expressly provided or agreed by AtomaXR, the export may be restricted to supported Client Data fields and supplied in CSV or another format determined by AtomaXR.
Unless otherwise agreed in writing, such export does not include source code, database schemas, database dumps, internal table structures, system metadata, proprietary workflows, configuration logic, templates, APIs, algorithms, audit mechanisms, system documentation or other EdcoreTMS proprietary information.
Where the applicable service arrangement limits the standard termination export, the supported fields may include: Student Name, Company Name, Course Title, Course Start Date and Course TPG ID.
AtomaXR may temporarily suspend or restrict access where there are reasonable grounds to believe that an account is being used in breach of this Agreement, presents a security risk, involves unauthorised access, threatens the integrity of the platform or is being used to unlawfully obtain or misuse AtomaXR's confidential information or intellectual property.
Where reasonably practicable, AtomaXR will notify the Client of the reason for such restriction and provide an opportunity for the matter to be clarified or remedied.
No access to EdcoreTMS, payment of subscription fees, configuration work, customisation, training, demonstration or provision of support shall be interpreted as assigning or transferring ownership of EdcoreTMS or its underlying intellectual property to the Client unless expressly agreed in a separate written instrument signed by AtomaXR.
By accessing or continuing to use EdcoreTMS, the Client and its authorised users acknowledge and agree to comply with these terms, subject to any overriding written agreement between AtomaXR and the Client.
